Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Blue Litus LLC, doing business as PipeModo ("PipeModo," "we," "us," or "our"), a Delaware limited liability company, governing your access to and use of the PipeModo Google Sheets add-on, website at pipemodo.com, and all related services (collectively, the "Service").

By installing, accessing, or using PipeModo, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Description of Service

PipeModo is a Google Sheets add-on that provides a visual workflow builder for spreadsheet data automation. The Service enables users to:

• Build visual data workflows using a drag-and-drop canvas interface
• Scrape and extract content from websites
• Connect to external REST APIs to fetch or send data for each row
• Analyze, categorize, and transform data using AI at scale
• Process data in batch across hundreds or thousands of rows
• Write workflow results back to Google Sheets cells

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where feasible.

3. Account Registration and Eligibility

To use PipeModo, you must:

• Have a valid Google Workspace or personal Google account
• Authorize PipeModo to access your Google Sheets data as required for the Service via OAuth 2.0
• Be at least 16 years of age (or the age of digital consent in your jurisdiction, whichever is higher)
• Provide accurate and complete information
• Not have been previously suspended or removed from the Service

You are responsible for maintaining the security of your Google account and for all activities that occur through your use of PipeModo. You must notify us immediately at support@pipemodo.com if you suspect unauthorized use of your account.

4. Credits, Pricing, and Payments

4.1 Credit System

PipeModo operates on a pay-as-you-go credit-based system. Each workflow run consumes credits based on the workflow type and number of rows processed. Credit costs are displayed before you execute a workflow, and you must confirm before credits are deducted.

4.2 Free Tier

New users receive 1,000 free workflow runs per month. Free tier usage resets monthly and cannot be accumulated or transferred.

4.3 Paid Credits

• Credit pricing ranges from $0.008 to $0.002 per workflow run, with volume discounts
• Paid credits do not expire as long as your account remains active
• All credit purchases are final and non-refundable except as described in Section 4.5 or as required by applicable law
• Pricing is subject to change with at least 30 days' prior notice to existing customers

4.4 Payment Processing

All payments are processed by Stripe, Inc. By purchasing credits, you agree to Stripe's Terms of Service. All prices are in US Dollars unless otherwise stated. You are responsible for any applicable taxes.

4.5 Refund Policy

Refunds may be issued at our reasonable discretion for:

• Verified technical failures on our end that prevented successful workflow execution
• Duplicate or erroneous charges
• Credits consumed due to a confirmed Service bug

To request a refund, contact support@pipemodo.com within 14 days of the charge with details of the issue.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Process data you do not have the lawful right to use, share, or process
• Scrape websites in violation of their terms of service or applicable law (e.g., the Computer Fraud and Abuse Act)
• Send spam, phishing emails, or other abusive or unsolicited communications using enriched data
• Attempt to gain unauthorized access to the Service, its servers, or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Resell, redistribute, sublicense, or provide access to the Service to third parties without our written consent
• Use automated scripts, bots, or other means to abuse the Service, circumvent rate limits, or fraudulently consume credits
• Use the Service to build a competing product or service
• Process data in a manner that violates the privacy rights of data subjects, including without obtaining necessary consents under GDPR, CCPA, or other applicable data protection laws

We reserve the right to suspend or terminate your access immediately if we reasonably believe you have violated these restrictions.

6. Data Ownership and Privacy

You retain all ownership rights to your data. By using the Service, you grant PipeModo a limited, non-exclusive, revocable license to access and process your data solely to provide and improve the Service.

Your use of the Service is also governed by our Privacy Policy, which describes in detail how we collect, use, share, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.

You are solely responsible for ensuring you have the legal right to process any data you submit to the Service, including obtaining all necessary consents from data subjects where required by applicable law. You agree to indemnify PipeModo for any claims arising from your failure to obtain such consents.

7. Third-Party Services

PipeModo integrates with third-party services (including, but not limited to, Apollo.io, Hunter.io, OpenAI, and Anthropic) to provide enrichment, web scraping, and AI features. These services operate under their own terms of service and privacy policies.

We are not responsible for the availability, accuracy, completeness, or reliability of data provided by third-party services. Third-party data is provided "as is," and you acknowledge that results may vary in accuracy. You should independently verify critical data before taking action based on enrichment or AI-generated results.

Third-party services may change their APIs, pricing, or availability at any time, which may affect PipeModo features that depend on them.

8. Intellectual Property

The Service, including its software, design, text, graphics, logos, user interface, and all related intellectual property, is owned by Blue Litus LLC and protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and internationally.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. This license does not include the right to modify, distribute, sell, or create derivative works based on the Service.

"PipeModo" and the PipeModo logo are trademarks of Blue Litus LLC. You may not use our trademarks without prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate, complete, or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements
• Third-party data or AI-generated content will be accurate or suitable for any particular purpose

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIPEMODO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Blue Litus LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms or any applicable law
• Your violation of any rights of a third party, including intellectual property or privacy rights
• Data you process through the Service, including claims from data subjects
• Your use of enrichment results or AI-generated content

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. We will endeavor to provide reasonable notice where possible, except in cases of suspected fraud, abuse, or legal requirement. Upon termination:

• Your right to use the Service immediately ceases
• Any unused paid credits are forfeited (no refunds for unused credits upon termination for cause)
• We may delete your account data after 90 days following termination
• Sections 6, 8, 9, 10, 11, 13, and 15 survive termination

You may terminate your account at any time by uninstalling the add-on and contacting us at support@pipemodo.com to request account deletion. We will process deletion requests within 30 days.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

The arbitration shall be conducted in Wilmington, Delaware, or at a mutually agreed location, or remotely via video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: To the fullest extent permitted by applicable law, you and PipeModo agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

14. Changes to Terms

We may modify these Terms at any time. For material changes, we will notify you via email to the address associated with your account at least 30 days before the changes take effect, and we will update the "Last updated" date at the top of this page.

Your continued use of the Service after the updated Terms take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and may request account deletion.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PipeModo regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
• Force Majeure: PipeModo shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
• Notices: We may provide notices to you via email to the address associated with your Google account or by posting on the Service. Notices to us must be sent to support@pipemodo.com.
