1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and PipeModo LLC ("PipeModo," "we," "us," or "our") governing your access to and use of the PipeModo Google Sheets add-on and related services (collectively, the "Service").

By installing, accessing, or using PipeModo, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

PipeModo is a Google Sheets add-on that enables users to:

• Run automated workflows on spreadsheet data
• Enrich contact and company information using third-party data providers
• Extract structured data using AI-powered analysis
• Write workflow results back to Google Sheets cells

3. Account Registration

To use PipeModo, you must:

• Have a valid Google account
• Authorize PipeModo to access your Google Sheets data as required for the Service
• Provide accurate and complete information
• Be at least 16 years of age

You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.

4. Credits and Payments

4.1 Credit System

PipeModo operates on a credit-based system. Each workflow action consumes credits based on the action type and number of rows processed. Credit costs are displayed before workflow execution.

4.2 Free Tier

New users receive a limited number of free credits. Free credits expire 30 days after account creation and cannot be transferred or refunded.

4.3 Paid Credits

• Paid credits do not expire as long as your account remains active
• All credit purchases are final and non-refundable except as required by law
• Prices are subject to change with 30 days notice for existing customers

4.4 Subscriptions

If you purchase a subscription:

• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel at any time; access continues until the end of the billing period
• No partial refunds for unused portions of a subscription period
• Unused monthly credits do not roll over to the next billing period

4.5 Refund Policy

Refunds may be issued at our sole discretion for:

• Technical issues on our end that prevented service delivery
• Duplicate charges
• Other circumstances we deem appropriate

To request a refund, contact support@pipemodo.com within 14 days of the charge.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Process data you do not have the right to use or share
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to send spam, phishing, or other abusive communications
• Resell, redistribute, or sublicense access to the Service without our written consent
• Use automated scripts to consume credits or abuse the Service
• Circumvent usage limits, rate limits, or other technical restrictions

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.

You are responsible for ensuring you have the legal right to process any data you submit to the Service, including obtaining necessary consents from data subjects where required.

7. Third-Party Services

PipeModo integrates with third-party services (Apollo.io, Hunter.io, OpenAI, etc.) to provide enrichment and AI features. These services have their own terms and conditions. We are not responsible for the availability, accuracy, or reliability of data provided by third-party services.

Third-party data is provided "as is" and you acknowledge that data accuracy may vary. Always verify critical data before taking action based on enrichment results.

8. Intellectual Property

The Service, including its design, features, and content, is owned by PipeModo and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain ownership of your data. By using the Service, you grant us a limited license to process your data solely to provide the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPEMODO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

11. Indemnification

You agree to indemnify, defend, and hold harmless PipeModo and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Data you process through the Service

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service immediately ceases
• Any unused credits are forfeited (no refunds)
• We may delete your account data after 90 days

You may terminate your account at any time by uninstalling the add-on and contacting us to request account deletion.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

CLASS ACTION WAIVER: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. For significant changes, we may also notify you via email.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and PipeModo.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
